These Terms & Conditions ("Terms") govern your access to and use of the Easy Flow invoicing and business-management software and website (the "Service"), operated by Easy Flow Software Solutions Pty Ltd (ABN 24 702 170 616) ("Easy Flow", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
Easy Flow provides online tools to help businesses create quotes and invoices, record payments and expenses, manage bills, clients, bookings, assets, reports and (as an optional add-on) payroll. The Service is provided to help you run your business; it does not replace your own records, your accountant, bookkeeper, BAS agent or legal adviser.
You agree not to: use the Service unlawfully; upload malicious code; attempt to gain unauthorised access to the Service or other users' data; resell or white-label the Service without our written consent; or use the Service to infringe anyone's rights. We may suspend or terminate access for breach of this clause.
The Service relies on third parties, including our payment provider (Stripe), email and hosting providers. Those services are governed by their own terms, and we are not responsible for their acts, omissions or availability. Card payments are processed by the payment provider; we do not store full card numbers.
We and our licensors own all rights in the Service, including its software, design, text and branding. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your business for as long as your subscription is active. You must not copy, modify, reverse-engineer or create derivative works from the Service.
We aim to keep the Service available but do not guarantee it will be uninterrupted, error-free or free of data loss. We may perform maintenance, change features, or suspend the Service where reasonably necessary. The Service is provided on an "as is" and "as available" basis.
The Service and any figures it produces — including GST, BAS, tax, superannuation, payroll, depreciation and cash-flow calculations — are provided for general information and convenience only. They are estimates based on the data you enter and general rules, may not reflect your circumstances, and are not financial, accounting, tax or legal advice. You are responsible for checking all figures and for your own compliance obligations, and should obtain advice from a registered tax or BAS agent, accountant or lawyer before relying on them. See our Disclaimer for more.
Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded ("Non-excludable Rights"). The following limitations apply subject to your Non-excludable Rights.
Exclusions. To the maximum extent permitted by law, we exclude all warranties, guarantees and representations not expressly set out in these Terms, and we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, goodwill, data, or for any penalty, interest, fine or liability arising from your tax, BAS, payroll or other compliance obligations, however arising.
Liability cap. To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with the Service or these Terms (whether in contract, tort, under statute or otherwise) is limited, at our option, to re-supplying the Service or to the total fees you paid to us for the Service in the 12 months before the event giving rise to the liability (or, if greater is not required by law, AUD $100).
Your responsibility. You use the Service, and rely on any output from it, at your own risk and on your own judgement.
To the maximum extent permitted by law, you indemnify us against all claims, losses, liabilities, costs and expenses we suffer arising from Your Data, your use of the Service, your breach of these Terms, or your breach of any law, except to the extent caused by our own breach.
You may stop using and cancel the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or where reasonably necessary to protect the Service or other users. On termination your right to use the Service ends. We may delete Your Data after a reasonable period following termination, so please export it beforehand.
We may update these Terms from time to time. We will post the updated Terms here and, where the change is material, take reasonable steps to notify you. Continued use of the Service after a change means you accept the updated Terms.
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
